FlowTropic Terms of Service

1. Account Terms

• To access and use the Services, you must register for a FlowTropic account using a valid Google Account.
• You must be at least 18 years old or the age of majority in your jurisdiction to open an account.
• You are responsible for keeping your account credentials secure. FlowTropic cannot and will not be liable for any loss or damage from your failure to maintain account security.
• You are responsible for all activity and content (such as data, graphics, photos, and links) uploaded under your FlowTropic account.

2. Account Activation

• Meta/Instagram Integration: To use the Service, you must connect a valid Instagram Professional/Business account. You grant us permission to read and reply to Direct Messages (DMs) on your behalf via the Meta Graph API.
• You are solely responsible for ensuring your Instagram account complies with Meta's Terms of Service and Commerce Policies. FlowTropic is not responsible if Meta restricts or bans your Instagram account.

3. FlowTropic Rights

• We reserve the right to modify or terminate the Service for any reason, without notice, at any time.
• We reserve the right to refuse service to anyone for any reason at any time.
• Beta Limitations: During our Beta phase, we reserve the right to cap the number of active merchants on the platform to ensure system stability.
• We may, but have no obligation to, remove content and suspend accounts containing content that we determine in our sole discretion is unlawful, offensive, threatening, or violates any party's intellectual property.

4. Your Responsibilities

• Fulfillment: You are solely responsible for fulfilling orders placed through FlowTropic catalog links, shipping products, and handling returns or refunds.
• Payment Verification: FlowTropic facilitates order collection but does not process payments. You are entirely responsible for verifying the authenticity of UPI or payment screenshots uploaded by customers before approving and shipping orders.
• AI Oversight: You acknowledge that FlowTropic uses AI (LLMs) to communicate with your customers. You are responsible for periodically reviewing AI conversations and manually intervening when necessary.

5. Payment of Fees and Taxes

• Subscription Fees: You will pay fees applicable to your subscription plan (for example, Free, Pro, Enterprise). Paid plans are billed in advance monthly and are non-refundable.
• Usage Limits: The Free tier is limited to a specific number of automated DMs per day. If exceeded, the AI agent may pause until the next billing cycle or calendar day.
• Taxes: All fees are exclusive of applicable taxes (including GST in India). You are responsible for all applicable taxes relating to your use of the Service.

6. Confidentiality

• Both parties agree to keep confidential any proprietary information received from the other party.
• "Confidential Information" includes, but is not limited to, pricing, software architecture, customer lists, and business operations.
• FlowTropic will protect your Confidential Information with at least reasonable care.

7. Limitation of Liability and Indemnification

• FlowTropic shall not be liable for direct, indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use the Service.
• AI Disclaimer: FlowTropic is not liable for lost sales, pricing errors, or customer disputes arising from AI hallucinations or misinterpretations of customer DMs.
• You agree to indemnify and hold us harmless from claims or demands, including reasonable legal fees, due to your breach of these Terms or your violation of any law or third-party rights.

8. Intellectual Property and Your Materials

• We do not claim ownership of material you provide to FlowTropic. Your inventory data, product images, and customer lists remain yours.
• You grant FlowTropic a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, host, and process provided content solely for delivering the Service.
• FlowTropic retains all intellectual property rights in the FlowTropic software, source code, AI pipeline architecture, and dashboard designs.

9. Additional Services

FlowTropic utilizes third-party services, APIs, and AI models (such as Groq, Jina AI, and Meta). Your use of FlowTropic is subject to the continued availability of these third-party services. We are not responsible for outages or errors caused by these external providers.

10. Feedback and Reviews

FlowTropic welcomes ideas and suggestions regarding improvements or additions to the Services. Disclosure of suggestions to FlowTropic is not subject to confidentiality obligations or compensation unless otherwise agreed in writing.

11. Intellectual Property Infringement

FlowTropic respects the intellectual property of others and expects merchants to do the same. If you believe a merchant is infringing your rights, contact our support team. We reserve the right to disable or terminate repeat infringers.

12. Privacy and Data Protection

FlowTropic is committed to protecting your personal information and the personal information of your customers. By using the Service, you acknowledge and agree that FlowTropic's collection, usage, and disclosure of personal information is governed by our Privacy Policy.

13. FlowTropic Contracting Party

The FlowTropic contracting party is FlowTropic, an entity registered and operating in Kerala, India. All legal notices should be sent to the registered company address.

14. Term and Termination

• These Terms remain in effect until terminated by either you or us. You may cancel your account at any time through your dashboard.
• Upon termination: (a) FlowTropic will cease providing Services; (b) you will no longer be able to access your account; and (c) any outstanding balance owed through termination becomes immediately due.

15. Modifications

We reserve the right to update and change these Terms from time to time. Material changes may be communicated via email or through the FlowTropic dashboard. Continued use after updates are posted constitutes acceptance of the amended Terms.

16. General Conditions

• Governing Law: These Terms are governed by the laws of India, subject to the jurisdiction of courts in Calicut, Kerala.
• Severability: If any provision is invalid or unenforceable, the remaining provisions remain enforceable.
• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and FlowTropic and supersede prior agreements.
